Terms of Use

These Terms of Use ("Terms") form a binding agreement between you and Gifty Ltd ("Gifty", "we", "us", or "our") regarding your use of gifty.market, associated subdomains, the Gifty storefront, Control Center, wallet, ticketing, partners programme, and any related tools or interfaces (collectively, the "Services").

If you do not agree to these Terms, you must not access or use the Services. Where you purchase digital products through Gifty, additional product-specific information displayed at checkout or on the relevant product page forms part of your order and is incorporated by reference into these Terms to the extent it applies to that purchase.

We may provide translated versions of these Terms for convenience. The English version controls in the event of any inconsistency, except where applicable law requires otherwise.

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to create an account or purchase through Gifty. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into a binding contract.

You are responsible for ensuring that your purchase and use of any third-party digital service offered through Gifty is lawful in your country of residence. Gifty does not guarantee that every product is available or permitted in every territory. We may refuse, suspend, or cancel orders where we reasonably believe doing so is required by law, platform policy, fraud prevention, or risk management.

Certain features, including checkout, Control Center, wallet top-ups, subscription management, IPTV access, partners tools, and support tickets, require a registered account. You agree to provide accurate, current, and complete information and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorised access. We are not liable for losses arising from your failure to safeguard your credentials, except where required by applicable law.

We may suspend or terminate accounts that violate these Terms, present security or fraud risk, or remain inactive for an extended period, subject to any mandatory consumer rights that apply to you.

Gifty resells access to third-party digital services and related fulfilment, including but not limited to: (i) premium account upgrades performed on an account you already own; (ii) Gifty Deals delivered in Gifty Vault (ready-to-use accounts, license keys, activation codes, gift cards, and file bundles); and (iii) IPTV streaming subscriptions managed in the Control Center. Unless expressly stated on a product page, Gifty is an independent reseller and is not an official partner, affiliate, or authorised agent of the underlying platform or rights holder.

Product descriptions, delivery timelines, prerequisites, and technical requirements are shown on the relevant product or checkout pages. You are responsible for reviewing this information before purchase, including whether an upgrade requires credentials for an account you already own or whether a Gifty Deal will be delivered to Gifty Vault.

Digital goods are deemed supplied when access credentials or artefacts are available in Gifty Vault within the Control Center, unless we notify you otherwise. Risk of loss for delivered digital access passes to you upon successful delivery to your account or designated contact method.

All prices are displayed in United States dollars (USD) unless otherwise stated at checkout. Applicable taxes, fees, or payment-method charges may be shown before you confirm payment. A contract for the relevant digital product is formed when we accept your order and payment is successfully authorised or settled according to the selected payment method.

We may correct pricing or description errors before order acceptance. If an error affects a completed charge, we will contact you to agree a remedy, which may include cancellation and refund of the affected amount where appropriate.

You may not use the Services for fraudulent transactions, money laundering, chargeback abuse, or any unlawful purpose. We reserve the right to verify identity, payment source, or order details before fulfilment.

Gifty offers an internal USD wallet balance ("Gifty balance") that can be used to pay for eligible storefront purchases. Wallet balances are not bank accounts, electronic money instruments, or deposit accounts, and they do not accrue interest.

You may top up your Gifty balance through GiftyPay, which supports cryptocurrency and, where available, card payments subject to minimum amounts (currently approximately USD 10, or as displayed at top-up). Top-ups are processed by payment partners and may be subject to their terms, verification requirements, and settlement times.

Gifty balance is generally non-transferable except as expressly permitted within the Services. We may place holds, reverse credits, or adjust balances to correct errors, address fraud, or comply with law. Detailed wallet rules may also appear in the Control Center and FAQ materials, which supplement these Terms.

Estimated delivery times are shown on product pages and in order status. These estimates are indicative and not guaranteed, although we aim to fulfil orders promptly. Delivery may be delayed by third-party platform processing, incorrect information supplied by you, security reviews, or events outside our reasonable control.

You can track order and delivery status in the Control Center. Gifty Deals are delivered when the credentials or artefacts are available in Gifty Vault. If delivery is marked in progress for longer than expected, contact support through your account tickets or [email protected] with your order reference.

If we cannot fulfil an order, we will notify you and, where applicable, offer a refund, store credit, or alternative remedy in line with these Terms and applicable consumer law.

Some products are sold as subscriptions with a defined term. Renewal behaviour, including auto-renewal where offered, is described on the product page and in the Control Center. Where auto-renewal is enabled, you authorise us to charge the applicable renewal amount from your Gifty balance or other supported payment method on the renewal date, subject to sufficient funds.

You may manage renewal settings in the Control Center where the feature is available. Disabling auto-renewal stops future renewal charges but does not entitle you to a refund for the current paid period unless otherwise stated in these Terms or required by law.

Third-party platforms may change features, pricing, or availability independently of Gifty. We will use reasonable efforts to communicate material changes affecting active subscriptions, but we do not control underlying platform policies.

Because many products are digital and fulfilled quickly, refunds are assessed on a case-by-case basis according to product type, delivery status, and the reason for the request. As a general rule, successfully delivered digital access is non-refundable except where required by applicable law or where we confirm a fulfilment failure attributable to Gifty.

Duplicate payments, failed upgrades caused by our error, or orders we cancel before delivery may qualify for refund to the original payment method or Gifty balance, at our discretion. Chargebacks or payment disputes should be raised with us first so we can investigate; abusive chargebacks may result in account suspension.

Refund requests should be submitted through in-app tickets or [email protected] with your order reference and relevant details. Nothing in this section limits mandatory consumer rights that cannot be waived under the laws of your country of residence.

You agree not to misuse the Services. Prohibited conduct includes: attempting unauthorised access to systems or accounts; interfering with service operation; scraping or automated extraction except as permitted by us; reselling or sublicensing products in breach of product terms; submitting false, stolen, or third-party credentials without authorisation; harassing staff or other users; or using Gifty to facilitate unlawful activity.

We may investigate suspected violations and cooperate with law enforcement or rights holders where appropriate. Violations may result in suspension, termination, cancellation of orders, or forfeiture of wallet balance to the extent permitted by law.

The Gifty name, logos, website design, software, and original content are owned by or licensed to us and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as necessary to identify Gifty as the seller of record.

Third-party marks, logos, and service names displayed in the catalogue belong to their respective owners and are used for identification purposes only. Purchase through Gifty does not grant ownership of underlying platform intellectual property.

Products offered through Gifty depend on third-party platforms and services not controlled by us. We do not warrant that any platform will continue to accept, support, or permit the access method provided. Platform operators may suspend accounts, change terms, or block access independently of Gifty.

You acknowledge that use of third-party services remains subject to those providers' own terms, privacy policies, and technical requirements. Gifty is not responsible for actions taken by third-party platforms, including account termination, geo-blocking, or feature changes, except to the extent we have expressly committed to a specific remedy on the product page or in writing.

To the fullest extent permitted by applicable law, the Services and digital products are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except where such disclaimers are prohibited by law.

We do not warrant uninterrupted, secure, or error-free operation of the website, wallet, or third-party integrations. No advice or information obtained through support channels creates any warranty not expressly stated in these Terms.

To the fullest extent permitted by applicable law, Gifty and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to the Services or any product purchased through them.

Our aggregate liability for all claims arising out of or relating to these Terms or any order shall not exceed the greater of (a) the amount you paid to Gifty for the specific order giving rise to the claim during the twelve (12) months preceding the event, or (b) USD 100, except where liability cannot be limited under mandatory consumer protection law.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

You agree to indemnify, defend, and hold harmless Gifty and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, unlawful use of third-party credentials, or violation of any law or third-party rights, except to the extent caused by our gross negligence or wilful misconduct.

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Panama, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.

If you qualify as a consumer in the European Union or another jurisdiction with mandatory local consumer protections, you may also benefit from rights that cannot be waived by contract. Nothing in this section deprives you of such protections.

Subject to mandatory consumer law, the courts of Panama shall have exclusive jurisdiction over disputes arising from these Terms or the Services, except that consumers in the EU may bring proceedings in the courts of their country of residence where such right is provided by applicable law.

EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obliged to participate in alternative dispute resolution procedures unless required by law.

We may update these Terms from time to time to reflect legal, technical, or business changes. The "Last updated" date at the top will be revised when changes take effect. Material changes will be communicated through the website, by email, or via the Control Center where appropriate.

Continued use of the Services after the effective date of updated Terms constitutes acceptance, except where applicable law requires your express consent. If you do not agree to updated Terms, you must stop using the Services and close your account where permitted.
